Terms & Conditions for CorpTrain Global Website Use

Please read these Terms and Conditions (“Terms”) carefully before using the CorpTrain Global website (the “Website”) and services. These Terms constitute a legally binding agreement between you (“User,” “you,” “your”) and CorpTrain Global (“CorpTrain Global,” “we,” “us,” “our”), a subsidiary of JPCann Associates LTD, a company duly registered in Ghana and registered office at 58 Nsawam Road, Accra, Ghana.

By accessing or using the Website and/or our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or our services.

1. Definitions

• “Services”: Refers to all professional and certification courses, corporate executive and board training, retreats, conferences, and related offerings provided by CorpTrain Global.
• “Program”: Refers to any specific course, training session, retreat, or conference offered by CorpTrain Global.
• “Website”: Refers to the CorpTrain Global website and all its content.

2. Services Offered

CorpTrain Global offers a diverse range of professional development and training solutions, including but not limited to:

* Professional and Certification Courses

* Corporate Executive Training

* Board of Directors Training

* Leadership Development Programs

* Specialized Skills Training

* Customized Corporate Training Solutions

* Retreats and Conferences

Our Programs are delivered through various modes, including in-person sessions, virtual sessions, hybrid sessions, and at in-house client locations. Specific details for each Program, including content, duration, fees, dates, and locations, are provided on the respective Program pages on the Website or within bespoke proposals for corporate clients.

3. User Accounts

If the Website allows for user account creation:

* You may be required to register an account to access certain features or enrol in Programs.

* You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

* You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to notify CorpTrain Global immediately of any unauthorized use of your account.

* CorpTrain Global reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

4. Registration and Booking

4.1. Program Enrolment: To enrol in a Program, you must follow the registration process outlined on the Website for individual programs or via direct communication with our team for corporate/custom programs.

4.2. Eligibility: Some Programs may have specific eligibility criteria or prerequisites. It is your responsibility to ensure you meet these before registering.

4.3. Confirmation: A booking is confirmed only upon receipt of full payment (or as per agreed payment terms for corporate clients) and issuance of a confirmation by CorpTrain Global.

5. Payment Terms

5.1. Fees: Program fees are as listed on the Website or provided in a bespoke proposal. All fees are subject to change without prior notice, although confirmed bookings will honour the price at the time of booking.

5.2. Currency: All fees are stated and payable in [Specify Primary Currency, e.g., US Dollars (USD)] unless otherwise specified.

5.3. Payment Methods: We accept various payment methods, including bank transfers, credit/debit card payments processed via secure third-party gateways, and corporate invoicing (subject to agreement). You agree to provide valid payment information.

5.4. Taxes: All fees are exclusive of applicable taxes (e.g., VAT, sales tax) unless explicitly stated otherwise. You are responsible for any applicable taxes.

6. Cancellation, Refunds, and Transfers Policy

This policy is critical and highly specific to each service type.

6.1. Individual Program Cancellations by User:

* More than 30 days before Program start date: Full refund, minus an administrative fee of 15% or fixed amount.

* 15-30 days before Program start date: 50% refund.

* Less than 15 days before Program start date: No refund.

* Non-attendance: No refund will be given for non-attendance at a confirmed Program.

* Full Payment Demand: Where payment is yet to be paid we are entitled to full fees as non-attendance.

6.2. Corporate Program Cancellations by Client:

* Cancellation terms for bespoke corporate executive and board training, and retreats/conferences, will be specified in the individual proposal or contract agreed upon between CorpTrain Global and the client. General terms are typically:

* More than 60 days before start date: Full refund, minus a cancellation fee.

* 30-60 days before start date: Partial refund.

* Less than 30 days before start date: No refund.

6.3. Transfers:

* Individual participants may request to transfer their enrolment to a later identical Program date or a different Program, subject to availability and an administrative fee, provided the request is made at least 15 days prior to the original Program start date. Transfers are limited to one per enrolment.

6.4. Cancellations by CorpTrain Global:

* CorpTrain Global reserves the right to cancel or reschedule any Program due to insufficient enrolment, instructor unavailability, unforeseen circumstances (e.g., force majeure events like natural disasters, pandemics, government restrictions), or other operational reasons.

* In the event of a cancellation by CorpTrain Global, registered participants will be offered a full refund or the option to transfer to an alternative Program date or a different Program of equivalent value. CorpTrain Global shall not be liable for any other costs incurred by the participant (e.g., travel, accommodation) as a result of such cancellation.

7. Intellectual Property Rights

7.1. All content on the Website, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, and software, is the property of CorpTrain Global or its content suppliers and protected by international intellectual property laws.

7.2. All training materials, course content, presentations, methodologies, and tools provided during any Program are the exclusive intellectual property of CorpTrain Global or its licensors.

7.3. You are granted a limited, non-exclusive, non-transferable license to access and use the Website and Program materials solely for your personal educational and non-commercial purposes related to the Services purchased.

7.4. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Website or Programs without the express prior written consent of CorpTrain Global.

8. User Conduct and Obligations

8.1. You agree to use the Website and Services only for lawful purposes and in a manner that does not infringe the rights of or restrict or inhibit the use and enjoyment of the Website by, any third party.

8.2. Prohibited conduct includes, but is not limited to:

* Engaging in any unlawful or fraudulent activity.

* Harassing, abusing, or defaming other users or CorpTrain Global staff.

* Attempting to gain unauthorized access to our systems or other users’ accounts.

* Interfering with the operation of the Website or Services.

* Distributing viruses or any other harmful computer code.

* Using any automated system to extract data from the Website (data scraping).

* Sharing Program materials or login credentials with unauthorized individuals.

8.3. During in-person or virtual sessions, you agree to maintain respectful and professional conduct. CorpTrain Global reserves the right to remove any participant from a Program without refund if their conduct is deemed disruptive, offensive, or in violation of these Terms.

9. Disclaimers and Limitation of Liability

9.1. “As Is”: The Website and Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

9.2. No Guarantees: CorpTrain Global does not warrant that the Website will be uninterrupted, error-free, secure, or that defects will be corrected. While we strive to provide high-quality training, we do not guarantee specific outcomes, employment, or career advancement as a result of participation in our Programs.

9.3. Limitation of Liability: To the fullest extent permitted by applicable law, CorpTrain Global, its directors, employees, affiliates, agents, contractors, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or Services; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website or Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9.4. Aggregate Liability: In no event shall CorpTrain Global’s aggregate liability for all claims related to the Services exceed the amount paid by you to CorpTrain Global for the specific Program giving rise to the claim.

10. Links to Third-Party Websites

The Website may contain links to third-party websites or services that are not owned or controlled by CorpTrain Global. CorpTrain Global has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CorpTrain Global shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

11. Indemnification

You agree to defend, indemnify, and hold harmless CorpTrain Global and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Website and Services, by you or any person using your account and password; b) a breach of these Terms; or c) your violation of any law or the rights of a third party.

12. Governing Law and Dispute Resolution

12.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

12.2. Dispute Resolution: Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination or invalidity thereof, shall be settled by arbitration in Accra, Ghana, in accordance with the rules of Alternative Dispute Resolution Act, 2010 (Act 798) for the time being in force, which rules are deemed to be incorporated by reference into this clause. The language of the arbitration shall be English.

12.3. Nothing in this clause shall prevent CorpTrain Global from seeking injunctive or other equitable relief in any court of competent jurisdiction.

13. Termination

We may terminate or suspend your access to the Website and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Website.

14. Miscellaneous

14.1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14.2. Entire Agreement: These Terms constitute the entire agreement between us regarding our Website and Services and supersede and replace any prior agreements we might have between us regarding the Services.

14.3. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without CorpTrain Global’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website or Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Website and Services.
